These Terms of Service ("Terms") govern your access to and use of apehx.com (the "Site") and the CRM setup, automation, and marketing services ("Services") provided by Apehx Digital ("Apehx," "we," "us," "our"). By using the Site or engaging our Services, you agree to these Terms. If you do not agree, do not use the Site or Services.
1. Our services
Apehx provides direct-to-specialist CRM setup, marketing automation, social media management, funnel building, and paid ads launch for US service businesses. Our model is a one-time build fee followed by optional, cancelable monthly maintenance — no required retainer. We also offer an all-in-one CRM subscription at $48/month. Specific deliverables, timelines, and fees for any engagement are set out in a separate service agreement or proposal.
2. Eligibility and accounts
You must be at least 18 years old and authorized to act for the business you represent. If you create an account or grant us access to third-party platforms (CRM, ad accounts, integrations), you are responsible for the accuracy of credentials and for maintaining their security.
3. Acceptable use
You agree not to:
- Use the Site or Services for any unlawful purpose.
- Send marketing communications through systems we set up without complying with applicable consent laws, including TCPA and CAN-SPAM.
- Attempt to access, disrupt, or misuse systems, data, or accounts that do not belong to you.
- Reproduce, resell, or redistribute our proprietary templates and build assets outside your own business use.
4. Billing and payment
Build fees are due per your service agreement. The $48/month CRM subscription and any optional maintenance are billed in advance on a recurring basis until you cancel. You can cancel a recurring subscription at any time; cancellation stops future charges but does not refund the current paid period. Refund eligibility for build fees is governed by your service agreement. Late or disputed charges may suspend Services until resolved.
5. Ownership
A core principle of Apehx is that you own the system we build. Upon full payment of your build fee, the CRM configuration, automations, funnels, and content created specifically for your business are yours to keep and operate, subject to the underlying platform's own terms. We retain ownership of our proprietary frameworks, templates, and methodologies that are not unique to your build.
6. Intellectual property
The Site, its design, blog content, and brand materials are owned by Apehx and protected by intellectual property laws. You may share blog articles with attribution and a link back to the original page. You may not remove branding or pass our content off as your own.
7. Third-party platforms
Our Services often involve third-party software (CRM platforms, ad networks, scheduling tools). Those services are governed by their own terms and policies. We are not responsible for outages, price changes, or policy changes made by third-party providers, though we will help you navigate them as part of maintenance.
8. Disclaimers
The Site and Services are provided "as is" without warranties of any kind. We do not guarantee specific business results, revenue, or search rankings. 9. Limitation of liability
To the fullest extent permitted by law, Apehx's total liability for any claim arising from the Site or Services is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or lost-profit damages.
10. Indemnification
You agree to indemnify and hold Apehx harmless from claims arising from your use of the Services, your content, your compliance with marketing and consent laws, or your breach of these Terms.
11. Termination
You may stop using the Site or cancel Services at any time. We may suspend or terminate access for violation of these Terms or non-payment. Provisions that by their nature should survive termination (ownership, liability, indemnification) remain in effect.
12. Governing law
These Terms are governed by the laws of the United States and the state in which Apehx operates, without regard to conflict-of-laws principles. Disputes will be resolved in the courts of competent jurisdiction in that state.
13. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date above reflects the latest revision. Continued use after changes constitutes acceptance of the updated Terms.
